Terms and Conditions By using the Application, you agree and accept that you are bound by and will comply with these terms of use in their periodically updated versions, hereinafter referred to as "Changes to these Terms of Use and Application". The term "you" refers to the person or entity accessing the Application, or who installs, downloads, accesses or otherwise uses the Application ("uses" or "using" in these Terms of Use means any of the aforementioned actions). If you do not accept or agree to be bound by these Terms of Use, you may not use the Application. If you use the Application on behalf of a company or personally, you are still individually bound by this agreement, even if your company has a separate agreement with us.

Acceptance of Terms of Use

The following Terms of Use, including, whenever applicable, all Annexes (the "Terms of Use"), govern your use: (1) of our website located at https://wallim.shop/ (the "Website"); (2) of our mobile applications, which provide, among other professional tools and content, a communication service with our end users and paying clients or partners ("Clients"), as well as our tools to facilitate communication between end users (such as the mobile applications); and (3) of all other products or services provided by us, such as "https://wallim.shop/", as described on the Website, and email channels (collectively, the "Application"). These Terms of Use constitute an agreement between https://wallim.shop/ ("WalliM", "we", "our") and you. The conditions set forth in these Terms shall be referred to as "WalliM".

Changes to these Terms of Use and Application

Except where prohibited by applicable law, we reserve the right to change these Terms of Use at any time without prior notice. If you continue to use the Application after any changes to these Terms of Use, you are accepting those changes. It is your responsibility to regularly review these Terms of Use to detect changes. We reserve the right, at any time and periodically, to change without prior notice any information, material or content included or provided through the Application.

Use of the Application and service eligibility

As a condition for being granted the right to use the Application, you represent, agree and warrant that: (1) you have the legal competence to create a binding legal obligation and, by doing so, do not violate any other agreement of which you are a part; (2) if you are an individual, you have reached the legal age of majority; (3) you do not currently have restricted access to the Application or are otherwise prohibited from having a profile on the Application; (4) you are not a competitor of WalliM or using the Application for reasons that are competitive with WalliM; (5) you will not violate any rights of WalliM, including intellectual property rights, such as copyright or trademark rights; (6) you agree to provide, at your own expense, all equipment, software and Internet access necessary to use the Application; and (7) you will use the Application in accordance with these Terms of Use. We reserve the right, at our discretion, to temporarily or permanently deny you access to the Application (or any part thereof) for violation of these Terms of Use.

Notifications and service messages

Any notifications or other communications permitted or required below, including those regarding changes to these Terms of Use or our Privacy Policy, shall be made in writing and provided: (1) by WalliM via email (in each case, to the address provided by you); or (2) by posting them on the Website; or (3) through the WalliM Application. In notifications made by email, the date of receipt shall be considered as the date on which the notification is issued. You also agree that WalliM may communicate with you through other means, such as by phone. You acknowledge and agree that we cannot be held responsible for failure to maintain adequate contact or other information, including, without limitation, your failure to receive essential information about the Application.

Ownership

All copyright and/or associated rights and/or rights related to computer programs/software and/or industrial property rights, and other similar rights (collectively referred to as "Intellectual Property"), among others, related to any and all products or services, design, technological solution or technical documentation, design work, manuals, databases, simple ideas or know-how, trade secrets, commercial or technical sales/marketing information, related to the Application are the exclusive property of WalliM. The use in any form, in whole or in part, by any person, of anything related to the type of intellectual property rights mentioned above, which are the exclusive property of WalliM, requires prior written authorization from WalliM. We expressly reserve all rights related to the Application (and any part thereof) that have not been specifically granted to you under these Terms of Use. You acknowledge and agree that any rights, titles and interests in the Application (and any part thereof), all information, material or content provided by us to you under these Terms of Use, and any updates, adaptations, translations, customizations or derivative works thereof, shall remain with us.

Security

You will be asked to register for a user profile, using the interfaces available in the Application, and to provide a valid and functioning email address and a password to access and use the Application. When registering, you will need to choose a password. Your email address and password and codes assigned to you together are your "User Information". You are responsible for keeping your User Information secure and not sharing it with anyone else. You are also responsible for all actions and omissions that occur under your User Information. You agree to immediately notify WalliM in writing via email (rgpd@wallim.shop) of any unauthorized use of your User Information or any security breach. WalliM is not and cannot be held liable for any damages resulting from or related to the theft of your User Information, the disclosure of your User Information, or the use of your User Information by another person or entity. We reserve the right to disable any User Account provided to you, at any time if we reasonably believe or suspect that the User Information has been used in violation of these Terms of Use or otherwise misused.

Registration

To register, you must provide your email address ("Registration Data"). You represent and warrant: (1) that the Registration Data you provide about yourself is true, accurate, current, and complete; and (2) that you will diligently maintain and update the Registration Data to keep it always true, accurate, current, and complete. You authorize WalliM, at its sole discretion, to verify the truthfulness and accuracy of the Registration Data. If you provide any information that is not true, accurate, current, or complete, or if WalliM has reasonable grounds to suspect that the information is not true, accurate, current, or complete, WalliM has the right to suspend or terminate your Profile and refuse any and all present or future use of the Application.

Privacy Policy and Privacy Guarantee

Please click on the following link to view our current Privacy Policy, which contains important information about our practices regarding the collection, storage, use, and disclosure of personal data, and which is hereby incorporated and constitutes an integral part of these Terms of Use: "Privacy Policy". You agree and warrant that: (1) you will always comply with all applicable laws (including all applicable privacy laws); and (2) all information, material or content that you provide to us

Please note that certain information, statements, data, and content (such as photographs) that you may submit in the Application may, or are likely to, reveal your gender, ethnic origin, nationality, age, and/or other personal information about you. You acknowledge that the submission of any information, statements, data, and content is voluntary.

User Content Terms

All content generated by a registered user in the Application, including all message data transmitted through the WalliM Application, complies with local and national privacy legislation and best practices.

Unlawful or Prohibited Use

Without prejudice to the generality of the foregoing, you may not and may not permit anyone to do the following, without our prior written permission: (a) use, display, replicate, or frame the Application or any individual element of the Application, WalliM any trademark, logo, or other proprietary information of WalliM, or the configuration and design of any page or form contained on a page, without the express written consent of WalliM; (b) access, monitor, or copy any part of the Application using any robot, "spider," "scraper," or other automatic means or any manual process for any purpose; (c) violate restrictions on any robot exclusion headers in the Application or bypass or circumvent other measures used to prevent or limit access to the Application; (d) take any action that imposes, or may impose, in our discretion, an unreasonable or disproportionately large load on the Application; (e) make any direct link to any part of the Application for any purpose; (f) remove any watermarks, labels, or other legal or proprietary notices included in the Application; (g) alter or attempt to alter the Application, including any modification to disguise or alter any indications of ownership or source of the Application; (h) use the Application as part of any service for sharing, lending, or use by multiple people; (i) attempt to aid, authorize, or encourage others to circumvent, disable, or circumvent any of the features or security components, such as digital rights management software or encryption, that protect the Application; (j) copy, reproduce, alter, distribute, transfer, sell, publish, transmit, perform, transmit, license, or circulate in any way any part of the Application; (k) create adaptations, translations, or derivative works based on the Application, in whole or in part, or decompile, disassemble, reverse engineer, or otherwise exploit any part of the Application; (l) use the Application in a manner that violates the rights (including, without limitation, intellectual property rights) of any third party. WalliM has the right to investigate and prosecute violations of any of the above provisions to the fullest extent permitted by law. WalliM may resort to and cooperate with law enforcement authorities to prosecute users who violate these Terms of Use. You acknowledge that WalliM has no obligation to monitor your access or use of the Application or to review or edit any content, but has the right to do so for purposes of Application use, to ensure compliance with these Terms of Use and the Privacy Policy, or to comply with applicable law or the order or requirement of a court, administrative agency, or other governmental body with jurisdiction. WalliM reserves the right, at any time and without notice, to remove or disable access to any content that WalliM, in its sole discretion, considers to be in violation of these Terms of Use, the Privacy Policy, or that may otherwise be harmful to the Application.

Confidentiality of Communications

We do not guarantee the confidentiality of any communications made by you through the Application. Although we have generally adhered to industry-accepted practices regarding the security of data transmission to, from, and through the Application, you acknowledge and agree that we cannot and do not guarantee the security of data transmitted over the Internet or public networks with regard to your use of the Application.

General Disclaimer

You use the Application at your own risk. The Application is provided "as is" and "as available." To the extent permitted by applicable law, we disclaim all warranties, representations, and conditions of any kind regarding the Application, whether express, implied, statutory, or otherwise, including, without limitation, implied warranties and conditions of merchantability, merchantable quality, fitness for a particular purpose, and non-infringement, quality, accuracy, reliability, completeness, timeliness, or suitability of the Application, and we do not warrant that the Application is or will be free from errors or will operate without interruptions.

Limitation of Liability

WalliM cannot be held liable under any circumstances, except with regard to liability arising from a legal provision that cannot be excluded.
